I’m looking for an experienced Australian commercial or tax lawyer to draft a discretionary trust deed for a private investment and business holding structure. The trust will be used to hold business equity, receive dividends and consulting income, and distribute profits to individuals and corporate beneficiaries (bucket companies). The objective is to create a flexible, future-proof structure suitable for operating, investing, and reinvesting across multiple entities. Scope of Work: The engagement covers: -Drafting a discretionary trust deed compliant with Australian law. -Preparing supporting trustee resolutions and execution instructions. -Providing short written confirmation that the deed meets standard tax and asset-protection practices. Deed requirements: The trust should: -Be established with a corporate trustee (already incorporated). -Include broad beneficiary classes (family members and any companies or trusts controlled by the primary beneficiary). -Allow income and capital streaming. -Authorise the trustee to carry on business, invest in shares or unit trusts, lend or borrow funds, and reinvest income. -Contain Division 7A-compliant loan clauses and the ability to distribute to corporate beneficiaries (bucket companies). -Provide for appointor control and succession. -Allow amendment of the deed with appointor consent. -Have a vesting period of 80 years (with flexibility to vary). -Include expanded income definition and trustee indemnity clauses. A short checklist of supporting documentation (minutes, resolutions, registration steps) would be appreciated. Deliverables: -Word copy of the executed deed template. -Trustee and appointor resolutions. -Short note confirming any standard stamp-duty or execution steps required. Requirements: -Admitted lawyer in Australia or legal drafting experience under an Australian supervising solicitor. -Prior experience creating discretionary or family trusts for business or investment clients. -Familiarity with Division 7A, trust streaming, and corporate beneficiary structures.
